What is CEO duality? What potential problems does it have on a firm's corporate governance?
Recent research for more than 20 years has been significantly focused on the corporate governance of companies as the dynamics of business intensify as well as the different scandals witnessed in different enterprises. As such, the roles of company CEOs have repeatedly been highlighted alongside the board members in a bid to establish and maintain sustainable checks against the possible abuse of power (Carty & Weiss, 2012). Therefore, the concept of CEO duality has emerged, referring to a corporate situation whereby one person serves un the capacities of the Chief Executive Officer as well as the board chairman concurrently. Over the years, CEO duality has been termed as a double-edged sword due to the tradeoff between the unified command of duality and the independence associated with the oversight by a stand-alone chair (Krause, Semadeni & Cannella, 2013). While corporate governance refers to the established systems, guidelines, and procedures for the corporate administration of an entity, it is imperative to note that CEO duality can be a sufficient recipe for massive problems in the corporate governance of a firm.
